SynergyXpert Client Agreement

1. Relationship & Platform Use

By using SynergyXpert, you represent that you are a client or authorized representative of your organization. All engagements and payments must occur on the platform. SynergyXpert is not a party to your agreement with any expert except as a payment and dispute mediator.

2. Booking, Payment, and Fees

  • Booking: You book a consultation with an Expert for whatever duration they make available. You are charged for the exact duration booked. All fees are displayed transparently prior to confirmation.
  • Payment: All payments are processed by SynergyXpert via secure third-party providers (e.g., Stripe). You pay SynergyXpert, not the expert directly. The full Consultation Fee for your selected duration is charged at the time of booking.
  • Fee Structure: The Consultation Fee is the Expert's Base Hourly Rate, prorated to the booked duration, plus a 20% Platform Increment.
  • No Mid-Call Extensions: Calls are billed for the fixed duration booked. There is no extension or overage billing mid-call — if you need more time, you must book a new, separate consultation.
  • Escrow: Your payment is held in escrow by SynergyXpert until the consultation ends and a 48-hour post-call window has passed without a dispute. Funds are then released to the expert. For full details, see Escrow & Payout Timing.

3. Cancellations, Refunds & Completion

Cancelling before the call:

  • 24 hours or more before the scheduled start: Full refund.
  • Between 12 and 24 hours before the scheduled start: 50% refund.
  • Less than 12 hours before the scheduled start: No refund (subject to exceptional circumstances at SynergyXpert's discretion).
  • Rescheduling: Free if done 24 hours or more before the scheduled start; reschedules within 24 hours are treated as cancellations for refund purposes.

If the expert cancels or does not show: You will receive a full refund, and you may rebook at no charge.

Minimum call length: A call must reach 7 minutes to count as completed. If it ends before 7 minutes (e.g., connection failure), you will be automatically refunded in full and the expert receives no payment.

Once a call reaches 7 minutes, it is treated as complete and billed for the full duration you booked, even if the conversation naturally finishes early.

4. Data Privacy & Security

SynergyXpert processes your data in line with our Privacy Policy and Data Processing Agreement (if applicable). For EU/UK organizations, SynergyXpert acts as a data processor. Subprocessors are disclosed at https://www.synergyxpert.com/subprocessors.

5. Confidentiality & Use of Information

  • Expert Identity & Project Details: Clients must not disclose the identity, contact information, rates, or any project-specific details of any expert to third parties, except as required by law or with express written permission from SynergyXpert.
  • No Harmful Use: Any information obtained from experts or consultations may not be used to harm, defame, compete with, or otherwise disadvantage the expert, their employer, or SynergyXpert in any direct or indirect way.
  • No Off-Platform Contact: Clients are strictly prohibited from contacting or attempting to engage experts outside SynergyXpert for any reason relating to the consultation or project.
  • No Sharing or Publication: Clients may not record, publish, or otherwise disseminate the advice, information, or expert identity received through the platform except with explicit written consent from SynergyXpert and the expert. If a specific NDA is required, both parties may be asked to accept it prior to consultation. See our NDA Policy.
  • Permanent Obligation: These confidentiality and non-disclosure requirements survive the end of the project, consultation, or termination of your SynergyXpert account.
  • Call Recording: If a call is to be recorded, explicit consent will be required from both client and expert, as outlined in our Call Recording Policy.
  • Penalties: Violations may result in immediate suspension or permanent termination of your account, forfeiture of payments, legal action for damages, and, if appropriate, notification of relevant professional or regulatory authorities.

If you become aware of any breach or suspected breach, you must report it immediately to info@synergyxpert.com.

6. Non-Circumvention & Contact Restrictions

STRICT PROHIBITION ON OFF-PLATFORM ENGAGEMENT:

  • No Off-Platform Contact: You are STRICTLY PROHIBITED from contacting, reaching out to, or engaging with ANY expert you connected with through SynergyXpert outside of the platform, including but not limited to: phone calls, text messages, emails, social media, LinkedIn, WhatsApp, or any other communication method.
  • No Personal Information Sharing: You CANNOT share or request personal contact information including phone numbers, personal email addresses, social media handles, or any other personal contact details with experts.
  • Platform-Only Transactions: ALL consultations must be booked exclusively through SynergyXpert's booking system. ALL payments must be processed exclusively through SynergyXpert's payment system. No cash, direct bank transfers, or third-party payment methods are permitted.
  • No Future Engagement: You cannot solicit, hire, or engage any expert for future work, advice, or services outside of SynergyXpert, regardless of when the relationship was initiated.
  • Legal Consequences: Violation of these restrictions constitutes:
  • Breach of contract with immediate account termination
  • Forfeiture of all payments and refunds
  • Potential legal action for damages, lost revenue, and attorney fees
  • Possible civil and criminal liability under applicable laws
  • Permanent Obligation: These restrictions remain in effect permanently, even after account termination or project completion.

SynergyXpert reserves the right to pursue all available legal remedies for violations, including but not limited to monetary damages, injunctive relief, and attorney fees.

7. Disputes

Pre-Payout Window: You may raise a dispute about a completed call within 48 hours of the call ending, before the expert is paid. General Disputes: You may also raise a billing or service dispute within 7 days of the consultation. SynergyXpert will mediate and its decision is final unless otherwise required by law. 8. Termination

SynergyXpert may suspend or terminate your account for breach of these terms, abuse, or legal violations.

9. Compliance Reminders & Acceptance

Before each call or engagement, clients must accept a clickwrap disclaimer confirming they will not request or share confidential or material non-public information, and that they agree to SynergyXpert's confidentiality, NDA, and recording policies. Acceptance is logged digitally.
